Please read these terms before purchasing or using the Term-Time Toolkit.
They explain what you are buying, how annual and lifetime access work, the rules for using the resources, the cancellation and refund position, and important health and wellbeing limitations. By placing an order, you agree to these terms. Nothing in these terms removes rights that cannot lawfully be excluded under UK consumer law.
Terms of Purchase and Use
1 Who we are
Term-Time Toolkit by Pause. Release. Reclaim. is operated under MJMShiers Co. In these terms, “we”, “us” and “our” mean MJMShiers Co. “You” and “your” mean the person purchasing or using the Toolkit.
Our customer support email is pausereleasereclaim@mjmshiers.com. Our trading address is MJM Shiers Co, Office 139067,
PO Box 7169, Poole, BH15 9EL, UK.
2 What the Term-Time Toolkit is
The Term-Time Toolkit is a digital wellbeing resource for teachers, teaching assistants and other school staff. It is intended to offer practical, guided support for managing the emotional and physical effects of school life and for creating opportunities to pause, release and reconnect with yourself.
Resources may include, without limitation:
Emotional Freedom Techniques, also known as EFT or tapping
meridian touch and gentle breathwork
inner voice work and Inner Dial work
journalling, reflection and guided prompts
meditations and consciousness journeys
visualisation, affirmations and somatic or body-focused activities
downloadable guides, worksheets, audio, video and other educational resources
This list is illustrative rather than exhaustive. The precise contents available at the time of purchase are those shown on the relevant sales or order page.
3 A growing digital product
The Toolkit is designed to grow. Your purchase gives you access to the resources available when your access begins and to eligible Term-Time Toolkit resources added during your access period. New content may respond to specific school situations, emotional triggers and recurring pressure points across the school year.
We do not promise a particular number of additions or a fixed publication timetable unless this is expressly stated on the order page. Proposed, previewed or “coming soon” resources may be renamed, combined, rescheduled or replaced as the Toolkit develops. We may update, reorganise or withdraw content where reasonably necessary for quality, safety, legal, licensing or technical reasons. Where practical, we will avoid materially reducing the overall value of the access purchased without providing a reasonable alternative.
Future one-to-one services, live events, practitioner training, separately branded programmes or other products are not included unless we expressly say that they are.
4 Eligibility and personal accounts
You must be at least 18 years old and legally able to enter into a contract to purchase the Toolkit. Access is licensed to the individual purchaser for personal, non-commercial use. A standard purchase does not provide a school-wide, team or organisational licence.
You must keep your login details secure and must not share your account. You are responsible for activity carried out through your account where you have failed to keep those details secure. Please contact us promptly if you believe your account has been accessed without permission.
5 Annual Access
Annual Access is an annually renewing subscription. Your first payment provides 12 months of access from the date access is first made available to you, normally immediately after successful payment. It includes eligible additions made to the Term-Time Toolkit during each paid annual access period.
At the end of each 12-month period, the subscription renews automatically for a further 12 months unless you cancel before the renewal date. The payment method held for the subscription will be charged the renewal price shown to you. If the renewal price will differ from the price previously paid, we will notify you before payment is taken and give you a reasonable opportunity to cancel.
We will send a reminder before the annual renewal payment is due, showing the renewal date, the amount to be charged and how to cancel. You may cancel the subscription at any time through any cancellation facility made available in your account or by contacting pausereleasereclaim@mjmshiers.com. Cancellation stops the next renewal payment; you will normally retain access until the end of the annual period already paid for. Not using the Toolkit, or using only part of it, does not pause or extend an access period or create a right to a partial refund.
6 Lifetime Access
Lifetime Access means access for the commercial lifetime of the Term-Time Toolkit as a product. It does not mean the lifetime of the purchaser, the business owner, MJMShiers Co, the Skool platform or any other third-party platform.
While the Term-Time Toolkit continues to operate, Lifetime Access includes eligible additions made to the Toolkit, subject to these terms. It does not include separately priced products, services, live programmes or individual support unless expressly stated.
If we decide to close the Term-Time Toolkit permanently, we will make reasonable efforts to give Lifetime Access customers advance notice, normally at least 60 days, using the email address registered to their account and an announcement within the platform. During the notice period, we will provide a reasonable opportunity to download the relevant resources that we are legally and technically able to provide for continued personal use. Where a resource cannot be supplied in its existing form because of platform, licensing or technical restrictions, we may provide an equivalent downloadable version where reasonably practical.
After the notified closure date, platform access and future updates will end. If events outside our reasonable control make the usual notice period impossible, we will take reasonable steps to provide notice and access to available downloads as soon as practicable.
7 Prices and payment
The price and any applicable taxes will be shown before you place your order. Payment must be made using one of the payment methods offered at checkout. Your order is accepted when payment has been successfully processed and we send an order or access confirmation.
If a price or product description contains an obvious error, we may contact you to correct the order. We will not charge an additional amount without your agreement. If we cannot accept the order, any payment taken will be refunded.
8 Digital delivery and technical requirements
The Toolkit is delivered online, currently through the Skool platform and may also use other third-party services. You need a suitable device, reliable internet access, a current browser, the ability to play audio and video, and an email address that you check regularly. You are responsible for ordinary internet and device costs.
We aim to keep access reasonably available, but uninterrupted or error-free access cannot be guaranteed. Maintenance, security issues, internet failures or changes made by third-party platforms may occasionally affect availability. We may move the Toolkit to another suitable platform and will provide reasonable instructions if you need to create or activate a replacement account.
Access to the Skool community
The Term-Time Toolkit is hosted within a private Skool community and admission is approved manually. After purchasing, you will receive instructions explaining how to request admission. You must request admission using the name and email address associated with your purchase so that we can verify your account.
Please allow up to 48 hours from submitting a valid admission request for your access to be approved. If the details supplied through Skool do not match your purchase information, we may contact you for further information and this may delay admission.
If you have not received access within 48 hours of submitting your request, please contact pausereleasereclaim@mjmshiers.com so that we can investigate.
9 Cancellation and refunds
Because the Toolkit contains digital content supplied online, special cancellation rules apply.
Immediate access
If you ask us to supply the digital content immediately during the statutory 14-day cancellation period, we will ask for your express consent to begin supply and your acknowledgement that you lose the statutory right to cancel once supply begins (this occurs when you are asked to agree to these Terms of Purchase and Use on the order form by ticking the box and completing the purchase). When access is then made available, we do not offer a change-of-mind refund, whether you chose Annual Access or Lifetime Access.
Where immediate supply consent has not been given
If the legally required consent and acknowledgement have not been obtained, the purchase will NOT be completed and your statutory cancellation rights have not been affected.
Problems with the digital content
The no-change-of-mind position does not affect your statutory rights. Digital content must be as described, of satisfactory quality and fit for a particular purpose made known to us where the law requires this. If content is faulty, unavailable for an unreasonable period, or materially not as described, please contact us so that we can investigate and, where appropriate, repair or replace the content. A price reduction or refund may be available where required by law.
Access and personal circumstances
Refunds are not normally given because you changed your mind after access began, did not use the Toolkit, did not complete the resources, experienced a change in personal circumstances, or expected a resource that was only described as proposed or coming soon. We may consider exceptional requests at our discretion, but doing so in one case does not create an obligation to do so in another.
10 Medical and wellbeing disclaimer
The Term-Time Toolkit provides general educational and wellbeing resources. It is not medical care, psychotherapy, counselling, psychiatric treatment, diagnosis, crisis support or a substitute for advice or treatment from a GP, mental health professional or other suitably qualified practitioner.
EFT, meridian touch, breathwork, meditation, visualisation, affirmations, journalling, inner voice work, Inner Dial work, somatic activities and related approaches are offered as complementary wellbeing practices. Individual experiences vary. We do not promise that any resource will diagnose, treat, cure or prevent a physical or mental health condition, or produce a particular emotional, professional or health outcome.
You remain responsible for deciding whether a practice is suitable for you. If you have a physical or mental health condition, are pregnant, take medication, are receiving treatment, have a history of trauma, or are uncertain about taking part, seek advice from an appropriate healthcare professional before using the relevant practices. Do not stop or change medication or treatment because of anything in the Toolkit without advice from the professional responsible for your care.
Use only a comfortable breath and never force, strain or hold your breath beyond what feels safe. Stop a practice if you feel dizzy, faint, short of breath, panicked, significantly distressed, in pain or otherwise unwell. Return to normal breathing and seek appropriate help where needed. Do not listen to or follow meditations, breathwork, visualisations or consciousness journeys while driving, operating machinery or doing anything that requires your full attention.
Inner voice and Inner Dial exercises are reflective tools. They are not diagnostic tests and should not be used as the sole basis for medical, safeguarding, employment, legal, financial or other significant decisions.
The Toolkit is not an emergency or crisis service and is not monitored continuously. If you believe you or someone else is in immediate danger, contact the emergency services. For urgent medical help in the UK, use the appropriate NHS or emergency service.
11 Sensitive material and personal responsibility
Some exercises may invite you to notice emotions, physical sensations, memories, work situations or patterns. You do not need to disclose private information to us or to other members in order to use the Toolkit. Choose a manageable focus, work at your own pace and stop or skip any exercise that does not feel appropriate.
The Toolkit cannot change school policies, staffing, workload, behaviour systems, safeguarding duties or employment conditions. It is not intended to help you tolerate unsafe or unreasonable circumstances. Where an issue requires action by your employer, union, healthcare provider, safeguarding lead or another professional, use the appropriate formal support and reporting route.
12 Intellectual property and permitted use
All Toolkit materials, including videos, audio, scripts, worksheets, designs, graphics, written content, names and frameworks, are owned by or licensed to MJMShiers Co unless stated otherwise. Purchasing access gives you a limited, personal, non-exclusive and non-transferable licence to use the materials for your own wellbeing during your access period and, for authorised downloads, afterwards for your own personal use.
You must not, without our prior written permission:
share your login or provide another person with access
copy, upload, publish, distribute, resell or commercially exploit any resource
use the materials to teach, train, facilitate or provide services to pupils, colleagues, clients or groups
record, reproduce or redistribute streamed content or live sessions
remove copyright, trade mark or ownership notices
present our content, frameworks or wording as your own
You may print or save resources that are specifically made available for download, solely for your personal use. A school or organisation wishing to use materials with staff must contact us about a suitable licence.
13 Community and acceptable use
If your access includes community features, you must communicate respectfully, protect the confidentiality and privacy of others, and avoid posting identifying information about pupils, families, colleagues or schools. Do not post unlawful, discriminatory, threatening, abusive, defamatory, misleading or promotional content, or give medical or professional advice beyond your qualifications.
We may moderate or remove content and may suspend or end access where there is a serious or repeated breach of these terms, misuse of the resources, account sharing, infringement of intellectual property, risk to another person, or behaviour that disrupts the community. Where appropriate, we will give a warning and a reasonable opportunity to remedy the breach. No refund will be due where access is ended because of your serious or repeated breach, except where the law requires otherwise.
14 Our responsibility
We are responsible for losses that are a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for losses that were not foreseeable when the contract was made, for failures caused by events outside our reasonable control, or for business losses because the Toolkit is supplied for personal consumer use.
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your statutory consumer rights.
15 Changes to these terms
We may update these terms to reflect changes to the Toolkit, our platforms, our business or the law. The version applying to your purchase will normally be the version accepted when you ordered. If a later change materially affects existing access, we will give reasonable notice and will not use a change to remove rights you have already acquired without a lawful basis.
16 Ending your access
You may stop using the Toolkit at any time. For Annual Access, choosing not to use the Toolkit does not create a refund or end the fixed 12-month term early. Lifetime Access continues for the product lifetime unless access is ended under these terms or the product closes as described above.
We may end the Toolkit or your access only in accordance with these terms and applicable law. Clauses relating to intellectual property, authorised downloads, liability, governing law and any rights or obligations that are intended to continue will survive the end of access.
17 Complaints and contact
If you have a question, technical problem or complaint, contact pausereleasereclaim@mjmshiers.com and include the email address used for your purchase, the date of purchase and a brief description of the issue. We will acknowledge and respond within a reasonable time.
18 Governing law
These terms are governed by the law of England and Wales. If you live elsewhere in the UK, you retain any mandatory consumer protections that apply where you live and may bring proceedings in the courts available to you under applicable law.
